O&M / Services Provider Direct Agreement

An O&M / Services Provider Direct Agreement creates a direct relationship between a material operator or long-term services provider and the representative of project lenders. It protects operational continuity by requiring direct notice before specified suspension or termination, giving funders an opportunity to cure or intervene, and establishing a pathway to transfer the Services Agreement or transition operations to a replacement structure.
