Shareholder Security Assignment

Financing Document

Sponsors often fund the project company through subordinated shareholder loans as well as equity. Those loans create claims against the project company: principal, interest, damages, repayment and enforcement rights. A Shareholder Security Assignment brings that creditor position into the senior secured structure so the sponsor cannot dispose of it, enforce it inconsistently or retain recoveries contrary to subordination and creditor-control arrangements.
