Companies Law
The Companies Law governs formation, capital, governance, management, shareholder rights, restructuring and dissolution across Saudi company forms. It modernized the corporate framework and replaced the 2015 law. For infrastructure transactions, it is the legal foundation for the project company, sponsor holding structure and many corporate approvals. It is not itself a PPP, security or capital-markets law, even where those transactions rely on corporate capacity created under it.

What This Instrument Does
The Law identifies recognized company types and regulates incorporation, constitutional documents, contributions, shares and quotas, management bodies, duties, accounts, transformations, mergers, divisions, termination and liquidation. It also provides structures such as the simplified joint stock company that may be relevant to tailored investment arrangements.
Why It Matters
Project-finance bankability depends on a legally valid SPV with appropriate objects, capital, governance, signing authority and restrictions on distributions or structural change. The Law supplies that corporate substrate and determines which protections must be built into constitutional documents, shareholder arrangements and financing covenants rather than assumed from contract alone.

- Management authority and representation
Allocates powers among managers, boards and shareholders. Transaction relevance: controls valid execution, reserved matters and delegation.
- Directors' and managers' duties
Provides standards and liability architecture for management. Transaction relevance: relevant to conflicted project decisions, related-party contracts and distress.
- Shareholder rights and decision-making
Regulates meetings, resolutions and minority protections. Transaction relevance: informs governance thresholds and shareholder-agreement design.
- Financial statements, audit and distributions
Sets accounting, audit and lawful distribution rules. Transaction relevance: affects reporting covenants and dividend lock-up implementation.
- Corporate reorganisations
Governs transformation, merger and division. Transaction relevance: required for restructurings, sponsor changes and asset/platform consolidation.
- Termination and liquidation
Provides dissolution triggers and liquidation mechanics. Transaction relevance: interfaces with default, insolvency and end-of-project planning.
