Law & Regulation
Income Tax Law
The Income Tax Law establishes the Saudi income-tax framework for persons and income within its scope, including non-Saudi participation, permanent establishments and withholding on specified Saudi-source payments. Its implementing regulations and ZATCA materials provide substantial computational and administrative detail. The record should explain structural tax exposure, not present project-specific tax advice or freeze rates without a current transaction-date check.
Legal Significance
What This Instrument Does
The Law identifies taxable persons and income, source rules, tax base, allowable deductions, loss treatment, withholding, natural-resource activity rules, filing, assessment, collection, objection and penalties. It operates alongside VAT, Zakat, RETT and applicable treaties rather than replacing them.
Why It Matters
Infrastructure structures commonly involve foreign shareholders, lenders, contractors and service providers. The Law affects project-company tax modelling, cross-border payment leakage, financing costs, contractor establishment risk, asset disposal and compliance covenants.
